Basilea führt das Rückkaufangebot und die Ausgabe Neuer Anleihen fort

Basel, Schweiz, 17. Juli 2020

Nach dem Ende der Angebotsfrist am 16. Juli 2020, 16.00 Uhr (MESZ) und der Bekanntgabe des Ergebnisses des Rückkaufangebots (CHF 47'085'000 an Nennwert angedienter Wandelobligationen) von heute Morgen gibt Basilea Pharmaceutica AG („Basilea“ oder die „Gesellschaft“) bekannt, dass Basilea auf die Bedingungen Nr. (iii) in ihrem Rückkaufsinserat, das folgendes verlangte, verzichtet:

  • vorrangige ungesicherte Wandelanleihen mit Fälligkeit 2027 („Neue Anleihen“) werden im Umfang von minimal CHF 100'000'000 nominal platziert; und
  • mindestens CHF 90'000'000 Nominalwert der ausstehenden Wandelanleihe mit Fälligkeit 2022 (ISIN: CH0305398148; SSN: 30'539'814, die „Bestehende Anleihe“ und jeder Anleihetitel eine „Wandelobligation“) werden gültig im Rückkaufangebot („Rückkaufangebot“) angedient.

Auf Basis dieses Verzichts und der Anpassung des Angebotsvolumens der Neuen Anleihe auf CHF 97'085'000 führt die Gesellschaft das Rückkaufangebot sowie die Ausgabe der Neuen Anleihe innerhalb des an der letzten Generalversammlung genehmigten Maximums von CHF 250 Millionen ausstehender Wandelanleihen fort.

Die endgültige Zuteilung der Neuen Anleihe wird nach dem Delta Placement erfolgen, welches sobald wie möglich, aber spätestens bis zum 22. Juli 2020, durchgeführt sein soll.

Adesh Kaul, Basileas CFO, kommentierte: „Obwohl wir mehr Wandelobligationen zurückkaufen wollten, freuen wir uns, dass wir einen Weg gefunden haben, unser Ziel trotzdem zu erreichen. Wir haben erhebliche Fortschritte zur Verbesserung des Fälligkeitsprofils der Schulden erzielt. Nach Abschluss der Transaktion werden etwa ein Viertel unserer mittelfristigen Schulden auf einen deutlich späteren Fälligkeitstermin verschoben sein. Darüber hinaus zeigt die Tatsache, dass Inhaber von 75% unserer Bestehenden Anleihe beschlossen haben, ihre Wandelobligationen nicht anzudienen, ihr Vertrauen in die finanzielle Stabilität und die mittelfristigen Perspektiven von Basilea, während unsere Fähigkeit, in einem ersten Schritt CHF 125 Millionen Neue Anleihen zu platzieren und vorläufig zuzuteilen, das Vertrauen neuer Investoren in die langfristige Strategie des Unternehmens unterstreicht.“

Nach erfolgreichem Abschluss des Rückkaufangebots und der Ausgabe der Neuen Anleihe wird Basilea das Ziel, die mittelfristigen Schulden weiter zu reduzieren, weiterverfolgen. Es ist beabsichtigt, den Grossteil des Nettoerlöses aus der Ausgabe der Neuen Anleihe für diesen Zweck zu verwenden und dafür ein zweckgebundenes Konto einzurichten.

Die Gesellschaft geht davon aus, dass die Abwicklung des Rückkaufangebots und die Ausgabe der Neuen Anleihen am 28. Juli 2020 abgeschlossen sein wird.

Die Eidgenössische Steuerverwaltung hat der Gesellschaft ihren Entscheid über die Anwendung der Verrechnungssteuer auf dem Angebot von 0.5% über dem Nominalwert der Wandelobligationen getroffen: Dieser Betrag unterliegt nicht der Verrechnungssteuer von 35%.
